1. Agreement to Terms
This End-User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Frederick Interpreting Agency, LLC ("Company," "we," "us," or "our") for the use of the Interpretation Management Platform ("IMP," "Platform," or "Service").
By accessing or using IMP, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Platform.
2. License Grant
Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use IMP for the purpose of managing interpretation services, including but not limited to scheduling, broadcasting, invoicing, and communication.
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that all information you provide is accurate and up to date
- Notifying us immediately of any unauthorized use of your account
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Platform
- Interfere with or disrupt the Platform or its servers
- Reverse engineer, decompile, or disassemble any part of the Platform
- Share your account credentials with unauthorized parties
- Use the Platform to transmit malicious code or content
5. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy. By using IMP, you consent to the collection and use of information as described in the Privacy Policy.
6. Third-Party Integrations
IMP may integrate with third-party services including but not limited to QuickBooks Online, Stripe, email providers, and mapping services. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.
7. Intellectual Property
The Platform, including all content, features, and functionality, is owned by the Company and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership rights in the Platform.
8. Service Availability
We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with or without notice.
9. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform.
10. Indemnification
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of this Agreement.
11. Termination
We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease.
12. Changes to This Agreement
We reserve the right to modify this Agreement at any time. Changes will be posted on this page with an updated revision date. Your continued use of the Platform after changes constitutes acceptance of the modified Agreement.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.
